Terms of Service

You, (Lessee) agree to lease the property selected and detailed on Your order (the “Property”) from Sedensia LLC for the lease term beginning on the date the Property is delivered under the terms and conditions set forth herein. After the initial lease term the Lease will continue on a month-to-month basis until terminated by Sedensia LLC or You. Over the Lease Term any additions or deletions to the Property will be confirmed in writing and will be subject to these same terms and conditions. Any changes in the Property covered by this lease after the initial delivery may result in modifications to Your monthly rental payment and/or additional transportation charges. Subsequent Monthly Payments Charged to Customer Designated Credit Card: All subsequent payments will be charged to Your credit card on file at the first of each month for the duration of the lease. Your total monthly payment is made up of Base Rent, Customer Protection Plan and applicable Sales or Use Tax minus any applicable monthly discounts.

Late Payment Fees:
Should Your credit card be declined for any reason, unless restricted by law, You will be charged a LATE PAYMENT FEE of $25.00 for each month the full amount of Your monthly lease payment is not successfully charged to your credit card on file. Additionally You will be subject to a monthly interest charge of 1.5% (unless restricted by law) on all balances over thirty (30) days past due. These fees and charges shall be in addition to all other remedies available to Sedensia LLC in the event You fail to keep your account current.

TAXES: You agree to pay all applicable sales and use taxes on the property and taxable services provided.
Note:This amount excludes the one time sales tax paid on the initial charges due with the lease.

Delivery: Sedensia LLC shall deliver the Property to the address specified above and on the mutually agreed date confirmed via electronic communications or phone call. You grant Sedensia LLC permission to enter the premises for the purposes of delivering and picking up the Property. Sedensia LLC shall have no liability for damages resulting from any delay in delivery or pick up of the Property.

Additional Transportation Charge: If, through no fault of Sedensia LLC , an additional pick up or delivery must be made to complete this transaction, an additional transportation charge, not to exceed the amount of the initial delivery charge will be due and charged to the credit card on file.

Cancellation: You may cancel this lease by calling 512 426 1262 or e-mailing notice of cancellation to service@sedensia.com at any time prior to delivery of the property. Cancellation of this Lease within two (2) business days of scheduled delivery will result in a Cancellation Fee of $100. Cancellation of this Lease within one (1) business day of scheduled delivery will result in a Cancellation Fee of $250. Cancellation after delivery will be treated as an Early Termination of the Lease. For customers requiring credit approval, Sedensia LLC will refund all initial fees if the lease is canceled prior to a credit approval due to credit terms. Refund of initial charges net of any Cancellation Fee or Early Termination charges will be made to the credit card on file.

Termination and Pick Up: Lessee must submit a pickup request to Sedensia LLC at least 15 calendar days in advance. Email Support to submit a pickup request or contact 512 426 1262 with your lease number and requested pickup date. Failure to schedule a pickup at least 15 calendar days in advance could result in an additional Pickup charge.

Early Termination: In the event You terminate this lease early due to a relocation where Sedensia LLC can continue to provide You with rental property at a new location and You enter into a new Sedensia LLC lease with monthly rental payments not less than 80% of those due on the lease being terminated there will be no early termination fee. In all other instances You will remain liable for all Your obligations under this lease.

Responsibility for Maintaining the Property: Sedensia LLC inspects the property prior to delivery to insure that it is free of material defects or infestation. You are responsible for maintaining the Property in good condition, subject to ordinary wear, and for any damage, loss or destruction not covered by the Customer Protection Plan. In the event of damage or loss not covered by the Customer Protection Plan, Sedensia LLC will charge You its cost of replacing or repairing the Property, including materials, parts and labor. Customer Protection Plan does not cover loss caused by theft, disappearance, gross negligence, misuse or abuse and does not cover damage or loss by cigar or cigarette burns, pets and insect infestation. You will not remove any item of Property from the delivery address without Sedensia’s prior written approval. IF YOU FAIL TO RETURN THE PROPERTY AS REQUIRED, YOU WILL BE LIABLE TO Sedensia LLC FOR AN AMOUNT UP TO THE REPLACMENT COST OF THE PROPERTY PLUS HANDLING FEES IN ADDITION TO ALL OTHER PAYMENTS AND CHARGES DUE UNDER THIS LEASE. Lessee agrees to indemnify, defend and hold Sedensia LLC harmless from any and all liabilities, claims, suits losses, damages, costs and expenses, including that the Property is infested with insects or that insect infestation in the property caused personal injury. Lessee also agrees to unconditionally release and discharge Sedensia LLC and its officers, directors, employees and agents from any and all claims or suits for damages suffered by lessee as a result of insect infestation or personal injury caused by insects.


No Assignment: This lease may not be assigned by You in whole or in part.

Title: It is understood that this transaction is a Lease and not a conditional sale or financing agreement. Title and ownership to each item of the Property shall remain with Sedensia LLC and You will not grant a security interest of any kind or dispose of any item of Property. You shall keep the Property free and clear of all levies, attachments, liens and encumbrances and shall not in any way impair Sedensia’s title in such Property. Sedensia LLC has the right to file a financing statement at any time to file notice of its ownership of the Property.

Right to Demand Performance: Any failure by Sedensia to require full performance by You of the Lease shall not affect Sedensia’s right to demand such performance in the future.

Default: Sedensia LLC may terminate this Lease at any time and repossess the Property without legal process: (1) if You violate any of the lease provisions and fail to cure such violation within fifteen (15) days of the violation; (2) if You become insolvent or make any assignment for the benefit of Your creditors; (3) if any proceeding is instituted against You under bankruptcy or similar laws for the relief of debtors or a receiver is appointed for any of Your assets. Upon such termination, Sedensia LLC will be entitled to Early Termination Payment and to recover any damages resulting from Your failure to fulfill all of the provisions of this Lease. You shall also be liable for all costs, including reasonable attorney’s fees, which may be incurred by Sedensia LLC in enforcing these provisions.

Multi-Use Provision: This Lease is intended for use in several jurisdictions. You agree that if any of its provisions shall be held invalid or unenforceable under the laws of the state or jurisdiction in which You reside the remaining provisions shall be enforced as if without the inclusion of the invalid term.

Entire Agreement: This Lease contains the entire agreement between you and Sedensia LLC for the rental of the specified Property, supersedes all prior agreements between Lessee and Sedensia LLC for the specified Property, whether written or oral and any terms, outside of the Late Payment Fee, may be amended only by a document endorsed by both parties. Sedensia LLC reserves the right to amend the Late Payment Fee with 60 days prior written notice to Lessee. YOU ACKNOWLEDGE THAT YOU HAVE READ THIS LEASE COMPLETELY AND UNDERSTAND AND AGREE TO ITS TERMS.
